Terms of Service

These Terms govern your use of OEMup, a manufacturing ERP SaaS operated by Kira Intrilogy Private Limited. By signing up or using the service, you agree to these Terms.

1. Subscription & Account

  • OEMup is provided on a subscription basis (monthly or annual).
  • You must be 18 or older and legally capable of entering into contracts under Indian law.
  • You are responsible for all activity under your account and for keeping login credentials secure.

2. Permitted Use

You may use OEMup only for lawful business purposes. You may not:

  • Attempt to reverse-engineer, resell, or sublicense the platform
  • Upload malware, infringing content, or data that violates Indian law
  • Use the platform to process data for any illegal activity

3. Payments & Billing

  • Subscription fees are billed in advance (monthly or annually) in Indian Rupees (INR) and include GST where applicable.
  • Failure to pay may result in suspension of your account after 15 days of notice.
  • Refunds are governed by our Refund Policy.

4. Data Ownership

You own all data you enter into OEMup. We only access it to provide, maintain, and improve the service. You can export your data anytime via the built-in export tools.

5. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated at least 24 hours in advance when possible.

6. Limitation of Liability

To the maximum extent permitted by Indian law, OEMup and Kira Intrilogy shall not be liable for indirect, incidental, or consequential damages. Our total liability in any claim is limited to the amount paid by you in the preceding 12 months.

7. Termination

You may cancel your subscription anytime from your account settings. We may suspend or terminate accounts that violate these Terms. On termination, data retention follows our Privacy Policy.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat.

9. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 30 days before taking effect.
